Terms of Service

These terms are an agreement between you and NeedThese, of 4235 E Wood Street, Phoenix, AZ 85040. By using this website or the school portal you accept them. If you do not accept them, please do not use the site.

If you are using the site for a school or district, you confirm you are authorized to act for that organization, and these terms bind that organization as well as you.

What this site does

The site describes what we sell, lists our contract vehicles, advertises clearance stock, and lets you ask for a quote. Signed-in district staff can also see their district's quotes and send us a purchase order.

You cannot buy anything on this site. There is no checkout and we take no card or bank details anywhere on it. Every order goes through a person.

Quotes, prices and stock

• A quote is an invitation for you to place an order. It is not a binding offer, and no contract exists until we accept your order in writing.
• Quotes are valid for the period stated on them. If no period is stated, treat a quote as valid for 30 days.
• Clearance items are limited stock, sold as described, and can sell out before your order reaches us.
• Prices exclude tax, delivery and installation unless the quote says otherwise.
• We try hard to keep prices, stock figures and product descriptions accurate, but errors happen. We may correct an obvious error even after a quote has been issued, and if we do we will tell you before anything ships and you may cancel.

Orders and purchase orders

• Sending us a purchase order through the portal or by email is you asking to buy. It does not by itself create a contract.
• We review every purchase order before acting on it. We may decline an order, for example if stock has gone, a price was wrong, or the order is not properly authorized.
• You are responsible for making sure the purchase order you send is genuine, properly approved by your district, and matches the quote you are referring to.
• Purchases made through a cooperative contract are also subject to that contract's terms. Our current vehicles are listed on the contracts page.

The school portal

Access to the portal is for named staff at districts we do business with, typically purchasing and business office staff.

• You sign in with your existing school account through Microsoft or Google. We never see your password.
• We decide which district you can see based on the domain of your verified email address. If your domain does not clearly identify one district, we will not guess. Call us and we will connect your account.
• You may only sign in with an account you are entitled to use, and only to see your own district's information.
• Tell us promptly if you think someone has gained access to the portal who should not have, or if you leave the district.
• We may suspend or withdraw access at any time, for example when someone changes role.

Uploading purchase orders

• Uploads must be PDF files and are size limited. The portal tells you the current limit.
• By uploading a file you confirm you are entitled to send it to us and that it does not contain anything unlawful or harmful.
• Do not upload student records, medical information, or anything else sensitive. The portal is for purchase orders and related paperwork only.
• We may refuse or remove any upload.

Acceptable use

Please do not:

• try to access accounts, quotes or data that are not yours
• probe, scan or test the security of the site, or try to get around any limit or control on it
• submit false information, or use the forms to send unsolicited or automated traffic
• upload anything containing malicious code
• copy or republish substantial parts of the site, or scrape it automatically
• use the site to break any law

If you think you have found a security problem, we would genuinely like to hear about it. Email info@needthese.com rather than testing it further.

Our content

The text, images, layout and logos on this site belong to NeedThese or our suppliers, and are protected by copyright and trade mark law. You may view, download and print pages for the purpose of evaluating and buying from us. Everything else needs our permission. Manufacturer names and product images belong to their owners and appear here to identify what we sell.

Availability

We aim to keep the site available but we do not promise it will be uninterrupted or error free. We may change, suspend or withdraw any part of it, including clearance listings and the portal, at any time and without notice.

Disclaimer and limits on our liability

The website is provided "as is". To the fullest extent the law allows, we exclude all implied warranties in relation to the website itself, including merchantability and fitness for a particular purpose.

Nothing here limits the warranties, obligations or remedies that apply to products and services you actually buy from us. Those are governed by the quote, the order and any cooperative contract they are placed under, and by the manufacturer's own warranty.

To the fullest extent the law allows, we are not liable for indirect, incidental, special or consequential losses, or for lost profits, arising from your use of this website. Our total liability arising from your use of this website is limited to $100.

Some states do not allow certain exclusions, so parts of this section may not apply to you.

Your responsibility

You agree to cover us for claims and costs arising from your misuse of the site, from information you submit that turns out to be false, or from your breach of these terms. Nothing in this paragraph requires a public body to indemnify us beyond what its governing law permits.

Governing law

These terms are governed by the law of the State of Arizona, without regard to its conflict of law rules. Any dispute will be brought in the state or federal courts located in Maricopa County, Arizona, and we each agree to those courts having jurisdiction. If you are an Arizona public body, this section applies only so far as your governing law allows.

General

• If any part of these terms is found unenforceable, the rest continues to apply.
• If we do not enforce something straight away, we have not given up the right to enforce it later.
• These terms, together with any quote, order and cooperative contract, are the whole agreement about your use of this website.

Changes

We may update these terms. The date at the top of this page shows when they last changed, and continuing to use the site after a change means you accept it.
